What are the steps to submit amendments to the governing instrument (i.e. Constitution) of a society charity?

The steps to amending the governing instrument of a charity incorporated as a society is listed as follows:

 

  1. Submit the proposed amendments to the COC/SA via the Charity Portal (http://www.charities.gov.sg). Select “Update Charity Profile” >> “Amendments to Governing Instrument”. Please complete and submit the proposed amendments to Governing Instrument using the template attached within Step 1 of the form. Please upload the proposed amendments to the governing instruments, a copy of the charity’s latest Constitution prior to incorporating the amendments and other relevant supporting documents within Step 1 of the form.

  2. The COC/SA will review and may propose changes or additions.

  3. Upon receipt of the Letter of No Objection from COC/SA, please proceed to seek approval of all amendments at General Meeting.

  4. Submit the changes to ROS with the proposed amendments and COC/SA’s Letter of No Objection.

  5. Upon approval from ROS, please proceed to submit the charity profile update with the Minutes of Meeting where the amendments were approved, certified true copy of the amended governing instrument and ROS’s notification of approval by completing Step 2 of the “Amendments to Governing Instrument” via the Charity Portal.
