The governing instrument should generally include standard rules and clauses relating to:

  • The organisation’s charitable purpose(s);

  • Governing board members;

  • Conflict of Interest Policy;

  • Quorum for Meeting;

  • Trustees for Immovable Property (applicable for society charities);

  • Amendments to Governing Instruments; and

  • Dissolution or Cessation of Charity Status.
