What happens if there are strong justifications for charities to retain their board members or are unable to find suitable replacement?
The Charity Council has been collaborating with partners, such as the Centre for Non-Profit Leadership (CNPL), to build capacity and capability of the charities especially regarding board renewal and succession planning.
If the charities are unable to find suitable replacement in time or wish to retain board member beyond 10 years, there is a re-election option as the Charity Council recognises the practical challenges faced by some charities in finding suitable board members and the need for time for board composition changes. Hence, board members need to be re-elected to serve another term. During the election process, it is important for the members to understand the reasons or justifications why the board member is required to serve a further term (after 10 years). Charities should thus disclose the reason or justifications during the election process.
